1. Agreement and scope

These Terms govern access to ALEVA websites, accounts, portals, quotations, product information, and support tools. By using them, you represent that you have authority to bind yourself and any organization you identify. Product purchases are also governed by the Terms of Sale, an accepted quotation, and any written order confirmation.

2. Eligibility and regulated products

ALEVA may restrict accounts, pricing, quotations, payment, shipment, support, or product access to verified professional or business users. You must provide accurate identity, organization, end-use, jurisdiction, and credential information when requested.

Diagnostic ultrasound systems, probes, software, accessories, and related products may be regulated, prescription-only, restricted to trained users, or unavailable in a jurisdiction. You are solely responsible for professional licensure, facility authority, prescriptions or orders, import permissions, resale authority, installation, training, operation, and lawful end use. ALEVA may require manual verification and may refuse or suspend any transaction.

3. Accounts and security

You must keep credentials confidential, use your own authorized account, promptly report suspected compromise, and accept responsibility for activity performed through your account to the extent permitted by law. ALEVA may require multi-factor authentication, re-verification, or additional records.

4. Permitted use

You may use the services only for lawful professional purposes. You may not scrape confidential pricing, bypass controls, reverse engineer protected systems, upload malicious content, misrepresent credentials, interfere with service, violate export or sanctions rules, or use ALEVA content to create a competing dataset or offering.

5. No medical advice

Website content is general commercial and technical information, not medical advice, diagnosis, treatment, clinical training, or a substitute for professional judgment, product labeling, validated procedures, or applicable standards.

6. Intellectual property and confidentiality

ALEVA and its licensors retain all rights in the websites, designs, software, documentation, trademarks, non-public prices, quotations, drawings, specifications, and other materials. No right is granted except the limited right to evaluate or use material for the authorized transaction. Confidential material must not be disclosed or reused without written permission.

7. Availability and third parties

Services and content are provided on an “as available” basis. ALEVA may change or discontinue features without notice. Third-party services, links, payment processors, hosting providers, and manufacturer information are governed by their own terms. ALEVA is not responsible for third-party acts or availability.

8. Suspension and termination

ALEVA may reject, limit, suspend, or terminate access where it reasonably suspects inaccurate information, security risk, non-payment, misuse, regulatory concern, sanctions risk, or breach of these Terms. Obligations concerning payment, confidentiality, intellectual property, indemnity, and liability survive.

9. Disclaimers

To the maximum extent permitted by law, ALEVA disclaims implied warranties concerning website access, merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, and compatibility. Product warranties, if any, are only those expressly stated in an accepted transaction document.

10. Limitation of liability

To the maximum extent permitted by law, ALEVA will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of revenue, profits, data, goodwill, opportunity, or business interruption. ALEVA’s aggregate liability arising from website use will not exceed the greater of US$100 or fees paid for the affected website service during the prior twelve months. Transaction liability is governed by the Terms of Sale.

11. Indemnity

You will defend, indemnify, and hold harmless ALEVA and its officers, personnel, and contractors from third-party claims, losses, penalties, and reasonable costs arising from your unlawful use, credential or end-use misrepresentation, product modification, clinical use, resale, export, or breach of these Terms, except to the extent caused by ALEVA’s conduct that cannot lawfully be excluded.

12. Governing law and mandatory rights

California law governs without regard to conflict-of-law rules. State and federal courts located in Orange County, California have exclusive jurisdiction, unless mandatory law requires otherwise. Nothing excludes a right or liability that applicable law does not permit the parties to exclude.

13. Changes and contact

ALEVA may update these Terms prospectively. Material changes requiring renewed consent will be presented through the account or transaction flow. Continued use after the stated effective date constitutes acceptance where permitted by law.
